Welcome to UMNI.global (“UMNI,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of the UMNI website, content, services, and any related applications (collectively, the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree with any portion of these Terms, you may not access or use the Site.


1. Acceptance of Terms

1.1. Binding Agreement. These Terms constitute a legally binding agreement between you (“you,” “your,” or “User”) and UMNI. By using the Site, you confirm that you have read, understood, and agree to be bound by all provisions herein.
1.2. Eligibility. You must be at least 18 years old (or the age of majority where you reside) to use the Site. If you are under the age of majority, you may only use the Site with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf.


2. Changes to These Terms

2.1. Modifications. UMNI reserves the right to modify, amend, or update these Terms at any time without prior notice. Any changes will be effective upon posting the revised Terms to the Site, along with an updated “Last updated” date.
2.2. Your Continued Use. Your continued use of the Site following any such change constitutes your acceptance of the revised Terms. If you do not agree to the amended Terms, you must stop using the Site immediately.


3. Description of Services

3.1. Content & Offerings. UMNI provides faith-driven, Sharīʿah-compliant audiovisual content—films, series, documentaries, podcasts, and educational videos—through the Site. We may also offer downloadable materials, behind-the-scenes features, community forums, newsletters, and other interactive or informational resources (collectively, “Services”).
3.2. Access. Certain portions of the Site may be accessible free of charge, while other content may require registration, login credentials, or a paid subscription. UMNI reserves the right to change Service availability, subscription fees, or access levels at any time.


4. User Accounts & Registration

4.1. Account Creation. To access certain Services, you may be required to register for an account by providing accurate and complete information (e.g., name, email address, password). You agree to maintain and promptly update this information to keep it current.
4.2. Account Security. You are solely responsible for maintaining the confidentiality of your user name, password, and any other credentials. You agree to notify UMNI immediately of any unauthorized use of your account or suspected security breach. UMNI will not be liable for any loss or damage resulting from your failure to keep your account credentials secure.
4.3. Age & Parental Consent. If you are under 18, you must have permission from a parent or guardian to register. UMNI may, in its sole discretion, refuse to grant an account to anyone.


5. Intellectual Property & Ownership

5.1. UMNI Content. All original content, including but not limited to videos, audio recordings, graphics, scripts, artwork, logos, trademarks, design elements, and software (“UMNI Content”), is owned or licensed by UMNI and is protected by copyright, trademark, and other intellectual property laws.
5.2. Limited License. Subject to your compliance with these Terms, UMNI grants you a non-exclusive, non-transferable, revocable, worldwide license to access and view UMNI Content solely for your personal, non-commercial use. Any other use—including copying, distribution, adaptation, public performance, or public display—is strictly prohibited without UMNI’s express written permission.
5.3. User-Generated Content. If you submit comments, reviews, forum posts, images, videos, or other content to the Site (“User Content”), you grant UMNI a perpetual, irrevocable, royalty-free, worldwide license (with the right to sublicense) to use, copy, modify, distribute, publish, and display your User Content. You represent and warrant that you own all rights in your User Content or have obtained all necessary rights and permissions, and that your User Content does not infringe any third-party rights.


6. User Conduct & Obligations

6.1. Lawful Use. You agree to use the Site in accordance with all applicable laws, regulations, and these Terms. You shall not:

  • Post, transmit, or share any content that is unlawful, defamatory, libelous, obscene, harassing, hateful, or otherwise objectionable under Sharīʿah or applicable law;

  • Impersonate any person or entity, or falsely state or misrepresent your affiliation;

  • Attempt to interfere with, compromise, or circumvent the Site’s security features or authentication measures;

  • Use any automated systems or software (bots, scrapers, spiders) to access or collect data from the Site without UMNI’s prior written permission;

  • Upload viruses, malicious code, or any other harmful files that disrupt the Site or compromise user data;

  • Reverse engineer, decompile, or otherwise attempt to derive the source code of any portion of the Site; or

  • Engage in any conduct that UMNI, at its sole discretion, deems inappropriate or harmful to the Site, UMNI’s brand, or any other user.

6.2. Halal Compliance. In all uses of the Site and any associated forums or comment sections, you agree to respect the halal and Sharīʿah-based values central to UMNI. Any content or conduct that explicitly contradicts these values may be removed, and your account may be suspended or terminated.


7. Subscription, Fees, and Payment

7.1. Paid Services. Some Services (e.g., premium video libraries, downloadable resources, or exclusive community features) may require payment of subscription fees, one-time charges, or in-app purchases. Your continued access to paid content is contingent on payment of the applicable fees.
7.2. Billing & Renewal. By subscribing or purchasing paid Services, you authorize UMNI (or our third-party billing provider) to charge your designated payment method on a recurring basis, according to the plan you selected. Subscription renewals occur automatically unless you cancel at least 48 hours before the next billing date.
7.3. Refunds. All payments are final and non-refundable, except as required by law or at UMNI’s sole discretion. If you believe a billing error has occurred, please contact us promptly at support@umni.global.


8. Content Use & Restrictions

8.1. Streaming & Downloading. UMNI grants you the right to stream (or download, if allowed) UMNI Content onto your personal devices for your private, non-commercial use. You agree not to redistribute, sell, or publicly perform any UMNI Content without prior written consent.
8.2. Third-Party Links. The Site may contain links to third-party websites, services, or resources (including social media). UMNI does not control, endorse, or assume responsibility for any third-party content, privacy practices, or security measures. Accessing third-party links is at your own risk, and you should review their terms before use.
8.3. Educational License. If you represent an educational institution (e.g., school, mosque, community center), you may apply for a separate educational license under which UMNI Content can be used for classroom or community screening purposes. Terms for such licenses will be provided separately and require mutual agreement.


9. Privacy & Data Collection

9.1. Privacy Policy. UMNI’s Privacy Policy describes how we collect, use, and disclose personal information. By using the Site, you also consent to the practices described in the Privacy Policy.
9.2. Cookies & Tracking. We may use cookies, web beacons, and similar technologies to enhance your user experience, analyze Site usage, and deliver targeted content. You can manage or disable cookies via your browser settings, but some Site features may not function properly if cookies are blocked.


10. Disclaimers & Warranties

10.1. “As Is” Basis. THE SITE AND ALL CONTENT AND SERVICES PROVIDED BY UMNI ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITHOUT WARRANTY OF ANY KIND. UMNI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
10.2. No Professional Advice. UMNI Content—especially faith-based lessons, educational segments, or moral-ethics discussions—are for general informational and entertainment purposes only. They do not constitute legal, religious, medical, financial, or other professional advice. You should consult qualified professionals (e.g., scholars, educators, or licensed practitioners) before making any decisions based on Site content.
10.3. Accuracy & Completeness. While UMNI strives to ensure that all information is accurate, current, and reliable, we do not guarantee the completeness or timeliness of any Content. You acknowledge and agree that UMNI may remove or update Content at any time without notice.


11. Limitation of Liability

11.1. No Indirect Damages. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UMNI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR UMNI CONTENT (INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES), WHETHER CAUSED BY CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.2. Maximum Liability. TO THE EXTENT ANY LIABILITY CANNOT BE DISCLAIMED, UMNI’S AGGREGATE LIABILITY FOR DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO UMNI IN THE SIX (6) MONTHS PRECEDING THE CLAIM.


12. Indemnification

You agree to defend, indemnify, and hold harmless UMNI and its affiliates, officers, directors, employees, agents, and licensors (collectively, the “Indemnified Parties”) from and against any and all claims, actions, demands, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • Your use of the Site or any violation of these Terms;

  • Your User Content or contributions;

  • Any breach of the representations, warranties, or covenants you make herein; or

  • Any claim that your User Content infringes or misappropriates any third-party rights.


13. Termination & Suspension

13.1. Termination by UMNI. UMNI may, in its sole discretion and without prior notice or liability, suspend or terminate your access to all or part of the Site, for any reason, including without limitation a breach of these Terms or conduct that UMNI believes is harmful to other users, third parties, or UMNI’s business interests.
13.2. Effects of Termination. Upon termination, your right to access and use the Site will immediately cease. You agree that UMNI will not be liable to you or any third party for any suspension or termination of access.
13.3. Survival. Sections 4 (Account Security), 5 (Intellectual Property), 8 (Content Use & Restrictions), 9 (Privacy & Data Collection), 10 (Disclaimers & Warranties), 11 (Limitation of Liability), 12 (Indemnification), 13.2 (Effects of Termination), and 14 (Governing Law) shall survive any termination of these Terms.


14. Governing Law & Dispute Resolution

14.1. Governing Law. These Terms and any disputes arising from or related thereto shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict-of-law principles.
14.2. Venue. The exclusive venue for any dispute arising from or related to these Terms shall be the state or federal courts located in Mecklenburg County, North Carolina. You hereby consent and submit to the personal jurisdiction of such courts.


15. General Provisions

15.1. Entire Agreement. These Terms, together with the Privacy Policy (and any other documents expressly referenced herein), constitute the entire agreement between you and UMNI regarding your use of the Site and supersede all prior or contemporaneous communications and proposals (oral or written).
15.2. Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions will remain in full force and effect.
15.3. Waiver. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and UMNI’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
15.4. Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without UMNI’s prior written consent. UMNI may assign or transfer these Terms at its sole discretion without restriction.
15.5. Notices. All notices, requests, consents, claims, and other communications to UMNI under these Terms must be sent via email to support@umni.global. Notices to you may be made via email, postings to the Site, or other reasonable means.
